ABOUT THE EVENT
What will M&A look like in 2025? What will be the regulatory impact of the new administration and how will this impact M&A? Will there be more private equity transactions or stock-based strategic transactions dominate? Will we continue to see significant activity in the tech and energy sectors? Will cross-border M&A grow or will the US (and other countries) take a more restricted view on allowing cross-border acquisition and/or investment in strategic industries?
This roundtable, which will be the first post-election discussion on M&A in 2025 and how it may be impacted by the new administration as well as changing regulatory attitude and possible personal, brings together leading M&A lawyers from across the country with expertise across a wide range of industry verticals. In addition, the panel will consider potential market and legal trends that could impact M&A activity, as well as review what the final months of 2024 may bring.

This roundtable, occurring as we close out 2024, will take stock of the current state of Delaware law, Delaware’s ongoing prominence for corporate domiciliation, and market trends and considerations relating to incorporations and reincorporations outside of Delaware. The roundtable will cover at least the following questions: What developments have caused the conversation over Delaware to materialize? What are the latest developments in Delaware law? How serious are the concerns about Delaware and any reincorporation activity? What are the panelists observing in their own practices and work? How do other states compare? What is going on in litigation challenging reincorporations outside of Delaware and what can be gleaned from that litigation? The panel will also consider what 2025 may bring on these topics.
The panelists bring a mix of perspectives—from within and outside of Delaware, from academia and practice, and from transactional and litigation experience.
