AI, Ethics and the Boardroom

How boards respond to cutting edge technologies has long been a key focus in corporate governance.  Every company today is closely examining how AI is—and will—impact their business in the years to come.  While AI offers corporations the opportunity for transformative change, the governance issues facing directors are both immense and novel.  Yet as we have only begun to see the promise of AI technology, boards are already struggling with how to respond to the ethical and business issues AI raises, as well as understand how AI may be regulated in the future.

The panelists included:

•   Jennifer Daniels, Chief Legal Officer and Corporate Secretary of Colgate-Palmolive. In addition to her role at Colgate-Palmolive, Jennifer is a director of Constellation Brands, where she serves as chair of the Governance Committee and is also a member of the Audit Committee. 
• Noah Feldman, Felix Frankfurter Professor of Law at Harvard Law School.  Professor Feldman, who conceived and developed the Facebook Oversight Board, is an expert on how to improve ethical decision-making by creating new governance structures and advises a number of companies on these issues, including Meta and ebay.
• Christina Montgomery, Vice President and Chief Privacy & Trust Officer at IBM.  Christina is a global leader in AI Ethics and governance, including serving as a member of US National AI Advisory Committee to advise the President on AI policy.  Christina also previously served as IBM’s corporate secretary.

The panel was moderated by David Berger, a partner at Wilson Sonsini and President of the ACGC.  David is a leader in Wilson’s Corporate Governance practice, including advising numerous AI and other leading technology company boards on novel governance issues.
